Terms of Service

1. What these terms cover

These terms apply to every service HADE ("we", "us") provides to your business ("you"): websites, QR review stands and AI replies, AI agents, automation software and the CRM platform. Every engagement also has a written proposal. If your proposal and these terms disagree, the proposal wins for that engagement. The HADE company you contract with is named on your proposal and your invoices. We work with businesses, not with consumers.

2. Prices and proposals

The prices on our website are starting prices in US dollars. Your final price depends on the complexity of the work: for example the number of pages and features, the channels an agent works on, call and message volume, integrations, locations and users. Before any work starts, you get a written proposal with your setup fee, your monthly fee, what is included and any usage limits. We only charge what your proposal says.

Prices do not include sales tax or third-party costs, such as your domain name, phone numbers, WhatsApp Business messaging fees or software you choose to subscribe to, unless your proposal says they do.

3. Payment

Setup fees are invoiced when you accept the proposal and are due before work starts, unless the proposal splits them into milestones. Monthly fees are billed in advance, starting on the launch date in your proposal. Invoices are due within 15 days. If an invoice is more than 15 days late, we may pause the service after telling you in writing. Pausing a service does not cancel what is owed.

4. Term and cancellation

Monthly services renew every month unless your proposal sets a minimum term. The CRM platform and other custom builds may have a minimum term, and if so it is written in the proposal. You can cancel a monthly service with 30 days' written notice; if there is a minimum term, cancellation takes effect at its end.

Setup fees pay for work that has already started, so they are not refundable once work begins. We may end a service with 30 days' notice, or right away if you seriously breach these terms, for example by not paying or by using a service unlawfully.

5. Usage and fair use

AI agents, phone answering and automations cost more to run as volume grows. Your proposal states the volume your price includes. If your use stays well above it for two months in a row, we will tell you and agree a new price with you before charging anything more.

6. What we need from you

Accurate information about your business (prices, hours, services, policies), access to the accounts we need, and timely approvals. You are responsible for the content you give us and for your business's own legal obligations, including licenses, advertising claims, consent to call or text your customers (for example under the TCPA), call recording notices where they are required, and the rules of your industry. Do not send us protected health information unless we have signed a separate written agreement covering it.

7. AI services

Our AI agents, chatbots and AI review replies work from your information and the rules we set with you, but AI can make mistakes. They are built to say when they do not know and to hand the conversation to your team. Please check the information we give the agent, and tell us whenever something should change; you can ask us to change or stop an agent at any time. AI services do not give medical, legal or financial advice and are not configured to. Where the law requires it, your customers are told they are talking to an AI.

8. Google, reviews and results

We do not control Google or any other platform, and we do not guarantee rankings, traffic, calls, review numbers or ratings. We never buy, fake or reward reviews, or send only happy customers to Google, and you agree not to use our services to do so. This follows Google's review policies and the FTC rule on fake reviews. Platforms change their features and rules, and we are not responsible for those changes.

9. Ownership

Your content, data, logos, domain names and accounts stay yours. Once your website build is fully paid, its design and content are yours. Our own software, templates, code libraries, AI configurations and the CRM platform itself stay ours; you may use them for as long as you pay for the service. When a service ends, we send you an export of your data in a standard format within 30 days of your request.

10. Third-party services

Our services run on third parties such as Cloudflare, Google, Meta (WhatsApp), Twilio, Resend and AI model providers. Their terms also apply when you use them through us. We are not responsible for their outages or changes, but we work to restore your service as quickly as we can.

11. Confidentiality and data

Each of us keeps the other's non-public business information confidential and uses it only for the engagement. We process your customers' data only to provide the service, as described in our privacy policy and your proposal, and we protect it with reasonable security measures. If we learn of a security incident affecting your data, we tell you without undue delay.

12. Our promise and its limits

We do our work with reasonable skill and care. If something we built does not work as described in your proposal, tell us and we fix it at no extra cost. Beyond that, and as far as the law allows, services are provided "as is".

Neither of us is liable to the other for indirect or consequential losses, or for lost profits or revenue. Our total liability for any claim is limited to the fees you paid us for the affected service in the three months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.

13. Claims from others

You will defend us against claims by third parties that arise from content you gave us or from your business's compliance with the law. We will defend you against claims that something we built, apart from your content and third-party components, infringes someone else's intellectual property.

14. Changes to these terms

We may update these terms. We post the new version on this page with its date and email active clients at least 30 days before a change that affects them takes effect.

15. Governing law

These terms are governed by the laws of the State of Nevada, and any dispute goes to the courts of Clark County, Nevada, unless your proposal says otherwise.
